1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VeriSure Leads ("Company," "we," "us," or "our"). By accessing or using our website at verisureleads.com (the "Site") or any of our lead generation services (the "Services"), you agree to comply with and be bound by these Terms, together with our Privacy Policy, Disclaimer, and TCPA Compliance Policy, which are incorporated by reference.

2. Description of Services

VeriSure Leads provides lead generation services including live transfer leads, pay-per-call leads, and exclusive web leads to business clients ("Buyers") operating in the financial services, legal, and insurance industries. We operate as a performance marketing intermediary connecting consumers seeking services with qualified service providers.

3. Eligibility

You must be at least 18 years of age to use the Site or Services. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Consumer Submissions

By submitting your personal information through any of our web properties, forms, or by engaging in a phone call with our representatives, you acknowledge and agree that:

• You are providing your information voluntarily and with informed consent
• Your information may be shared with one or more third-party service providers in the relevant industry
• You may be contacted by phone (including autodialed and prerecorded calls), email, or SMS by VeriSure Leads and/or our Buyers regarding the services you have inquired about
• Your consent to be contacted is not a condition of purchasing any product or service
• You are providing truthful, accurate, and complete information

5. Buyer Terms

5.1 Lead Quality and Replacement

VeriSure Leads makes commercially reasonable efforts to deliver leads that meet the agreed-upon qualification criteria. Leads that demonstrably fail to meet agreed criteria (e.g., disconnected numbers, false information, hang-ups before minimum buffer time) may be eligible for credit or replacement at the sole discretion of VeriSure Leads, subject to the terms of the applicable Buyer agreement.

5.2 No Guarantee of Conversion

5.3 Exclusive Use

Leads designated as "exclusive" are sold to one Buyer only and may not be resold, redistributed, or shared with third parties without prior written consent from VeriSure Leads.

5.4 Payment Terms

Buyers agree to pay for leads in accordance with the pricing, payment schedule, and terms established in their individual Buyer agreement. Late payments may result in suspension of lead delivery. VeriSure Leads reserves the right to modify pricing with reasonable advance notice.

6. Intellectual Property

All content on the Site, including text, graphics, logos, images, software, and design elements, is the property of VeriSure Leads or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, display, or create derivative works from any content on the Site without prior written permission.

7. Prohibited Conduct

You agree not to:

• Use the Site or Services for any unlawful purpose or in violation of any applicable laws or regulations
• Submit false, misleading, or fraudulent information
• Attempt to interfere with, disrupt, or compromise the integrity or security of the Site or Services
• Scrape, crawl, or use automated tools to extract data from the Site without written authorization
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use leads obtained through our Services in any manner that violates applicable laws, including TCPA, CAN-SPAM, and state telemarketing regulations

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, VeriSure Leads disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERISURE LEADS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY arising out of or related to your use of the Site or Services, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

OUR TOTAL AGGREGATE LIABILITY for any claim arising out of or relating to the Site or Services shall not exceed the total amount paid by you to VeriSure Leads during the six (6) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless VeriSure Leads, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights; or (e) any content or information you submit through the Site.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, unless otherwise agreed in writing. The arbitration shall be conducted in the State of Delaware. Each party shall bear its own costs of arbitration.

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Termination

We reserve the right to suspend or terminate your access to the Site or Services at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, TCPA Compliance Policy, and any applicable Buyer agreement, constitute the entire agreement between you and VeriSure Leads regarding the Site and Services, and supersede all prior agreements, representations, and understandings.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
